1. Scope and Effective Date
These Terms apply to all services accessed through fintegrity.cn and its subdomains (including but not limited to company.fintegrity.cn, admin.fintegrity.cn, about.fintegrity.cn) via web, mobile, or other clients.
These Terms become effective when you check the "I have read and agree to the Terms of Service and Privacy Policy" checkbox or otherwise indicate acceptance. If you disagree with any clause, please stop using the Platform.
These Terms are drafted in accordance with the Civil Code, the E-Commerce Law, the Cybersecurity Law, and the Personal Information Protection Law of the People's Republic of China.
2. Platform and Service Definition
Fintegrity is an international freelance / contracting marketplace that connects "Workers" (individual professionals, freelancers) with "Companies" (engaging organizations). Core services include:
• Account registration, real-name verification, and profile display
• Job posting, search, recommendation, and matching
• Service listing and procurement
• Real-time messaging to establish collaboration intent
• Electronic contract drafting, signing, and lifecycle management
• Bill generation, payment recording, and reconciliation (as a tool for off-platform settlement)
• Performance reviews, dispute intake, and platform-assisted mediation
The Platform is an information and collaboration management tool; we do not directly become a party to your engagements with counterparties.
3. Account Registration and Verification
1. Eligibility: You must be at least 18 years old with full civil capacity. If you act on behalf of a Company, you must be lawfully authorized to represent it.
2. Registration credential: A valid mobile number (with international dialling code) plus SMS verification is required. Your phone number is one of your unique login credentials — keep it safe.
3. Real-name verification: Pursuant to Article 24 of the Cybersecurity Law of the PRC, you must complete personal or company verification before publishing jobs, publishing services, or signing electronic contracts. Submitted information must be true, lawful, and valid.
4. Account quota: Up to 3 owned companies and up to 3 joined companies per user; only one personal account per phone number.
5. Account security: You are responsible for all activity under your account. Notify us immediately of any unauthorized access.
4. User Conduct
You agree not to:
• Publish content that violates law, harms public order, or infringes on others' rights
• Publish fraudulent jobs, services, qualifications, or exaggerated claims
• Register using another person's identity
• Use scrapers, bots, or API abuse to harvest platform data
• Circumvent the Platform to evade regulatory or service obligations
• Solicit irrelevant sensitive personal information (ID numbers, bank cards) in job descriptions
• Engage in harassment, employment discrimination (gender, age, region, religion, ethnicity, etc.), or pricing fraud
• Engage in any other behavior prohibited by law or public morality
Violations may result in warnings, feature restrictions, content removal, account suspension, permanent ban, and / or legal action proportional to the severity.
5. Engagements and Electronic Contracts
1. Initiation: After collaboration intent is established in chat, the Worker initiates an electronic contract based on one of their published Services, specifying scope, timeline, currency, amount, and payment terms.
2. Lifecycle: Contracts move through PENDING → SIGNED → ACTIVE → COMPLETED / TERMINATED. Once electronically signed by both parties, the contract is legally binding.
3. Multi-currency: Amounts can be denominated in CNY, USD, or any ISO 4217 currency.
4. Completion and dispute window: Either party may apply to mark a contract complete; the counterparty has 7 days to confirm or dispute. Silence after 7 days auto-completes the contract.
5. Platform role: We provide contract templates and signing tools; the substantive validity, lawfulness, and tax compliance of any engagement remain solely with you and your counterparty.
6. Bills, Payments and Tax
1. Bill generation: Bills are generated automatically per the contract schedule once the contract enters its active phase.
2. Funds flow: At present, the Platform does not directly collect or disburse funds. Companies remit payment to Workers off-platform; the Platform only records bill status for reconciliation.
3. Overdue: Bills not paid within 15 days are auto-flagged as overdue; either party may request platform mediation.
4. Tax responsibility: You are solely responsible for declaring and paying any taxes (income tax, VAT, etc.) arising from collaborations. The Platform does not withhold or remit taxes on your behalf.
5. Service fee: We currently charge no service fee from users. Any future change will be publicly announced at least 30 days in advance.
7. Reviews, UGC and Intellectual Property
1. Reviews: After a contract is COMPLETED, both parties may submit reviews. Reviews use a double-blind mechanism — submissions are hidden from the counterparty until both have reviewed or 7 days have elapsed.
2. Public reviews show only the rating and text — never the reviewer's avatar or name.
3. Copyright in your job descriptions, services, resume, reviews, and other UGC remains yours. You warrant your content does not infringe on others' rights.
4. You grant the Platform a royalty-free, non-exclusive, sublicensable, worldwide license to display, reproduce, distribute, and modify (e.g., generating multilingual versions) your UGC solely for operating the service.
5. The Platform's brand, design, code, proprietary databases, and derivative data are owned by Fintegrity and may not be copied, scraped, or used commercially without permission.
8. Disclaimers and Limitation of Liability
1. The Platform acts as an information intermediary and collaboration management tool. We make no express or implied warranty about the authenticity of jobs, the credentials of counterparties, or the outcomes of any engagement.
2. Disputes arising between you and counterparties should be resolved through good-faith negotiation, platform mediation, or legal channels; we bear responsibility only to the extent of our own fault.
3. We are not liable for service interruptions caused by force majeure (earthquakes, floods, government actions), third-party causes (telecom outages), or your own device / network problems, but will make reasonable efforts to restore service.
4. To the maximum extent permitted by law, the Platform shall not be liable for any indirect, consequential, or anticipated loss; total aggregate liability shall not exceed the total service fees you have paid to the Platform in the preceding 12 months (if any).
9. Amendments, Account Termination and Closure
1. Amendments: These Terms may be updated to reflect legal changes or service evolution. Material changes will be communicated via in-platform announcement, email, or SMS at least 7 days in advance. Continued use of the Platform after the change indicates acceptance.
2. Account closure: You may request account closure at any time. A 30-day grace period applies during which you may restore the account via SMS or bound email; after 30 days the account is permanently deleted.
3. During grace period: login is disabled; ongoing electronic contracts remain valid and may continue to be performed by the counterparty.
4. Termination by us: Serious violations of these Terms or applicable law may result in immediate suspension or termination, with all legal remedies reserved.
10. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China (excluding Hong Kong, Macau, and Taiwan).
Any dispute arising out of or in connection with these Terms shall first be resolved through friendly negotiation; failing that, either party may bring the dispute before the People's Court of Huangpu District, Shanghai.
