Company Setup in China, Handled End-to-End
From structure design and name approval to license, chops, bank account, tax and social insurance — one bilingual team walks you through every hurdle, so you can focus on the business itself.
Who we serve
Domestic founders
Startups and growing teams registering a Ltd. in Shanghai or elsewhere in China — done fast, done right.
Foreign investors (WFOE)
100% foreign-owned enterprises: structure advice, notarized documents, FDI filings and forex registration, fully in English.
Joint ventures & HK/offshore structures
Sino-foreign JVs, or investing through Hong Kong / offshore holding vehicles — we design the right path in.
Six decisions we help you get right
Corporate structure
Ltd. (most common, up to 50 shareholders, limited liability) · WFOE (100% foreign-owned) · JV · partnership · branch or rep office. We recommend the right form for your business model.
Registered capital
No statutory minimum for most industries; subscription must be paid in within 5 years under the new Company Law. We help you set a sensible, credible amount.
Business scope
Consulting and technology services need no special permit; food & alcohol, import/export and other regulated sectors require additional licenses — we map them up front.
Registered address
A real office or a compliant virtual address in an industrial park. Virtual addresses add flexibility — no filing change on every office move.
Key roles
Legal Representative, Financial Officer and Supervisor. The LR may also be a shareholder but not the Supervisor; for lean startups the LR can initially double as Financial Officer.
Articles & shareholder agreement
Articles of Association are statutory and bind the company and all members; a shareholders’ agreement governs rights among its signatories. We draft both.

The full process, nine steps
We run every step and hand you back a company that is ready to operate, invoice and hire.
Consultation & structure design
Business model review, corporate form, capital, equity split, investment path (direct / HK / offshore).
Name pre-approval
Name screening and reservation with the market regulator.
Document preparation
Articles, resolutions, lease documents; for foreign shareholders — notarization and legalization (or Apostille) of identity / corporate documents.
Business license
Registration filing with SAMR; five-in-one business license issued.
Company chops
Official, financial, legal-representative and invoice chops carved and filed with the public security bureau.
Bank account
RMB basic account opening; for FIEs, capital account and forex (FDI) registration.
Tax registration
Tax type verification, general VAT taxpayer election, invoice quota and e-invoicing setup.
Social insurance & housing fund
Employer accounts opened and linked, ready for your first hires.
Ongoing compliance handover
Bookkeeping & tax filing, annual publication report, and seamless connection to Fintegrity workforce services.

What you receive
Frequently asked questions
Can a foreigner own 100% of a Chinese company?⌃
Yes. Outside the Negative List for foreign investment, a Wholly Foreign-Owned Enterprise (WFOE) gives you 100% ownership and control. We check your intended business scope against the current Negative List first.
Do I need to travel to China?⌃
In most cases, no. Identity documents are notarized and legalized (or Apostilled) in your home country, and filings are handled by us under power of attorney. Some banks may require a video or in-person interview for account opening — policies vary and we route you to friendly banks.
Is there a minimum registered capital?⌃
For most industries there is no statutory minimum, but capital must be paid in within 5 years and should be credible for your business scale — banks, landlords and clients do look at it. We advise a sensible amount.
Is a virtual registered address legal?⌃
Yes — addresses provided by government-supported industrial parks are fully compliant and widely used, especially by startups and foreign-invested consultancies. Regulated industries may require a physical premise.
How long until I can invoice clients?⌃
After the license, chops, bank account and tax registration are done — typically 2–3 weeks for domestic companies and 6–10 weeks for WFOEs end-to-end — you can issue fapiao to clients.
What does it cost to maintain a company annually?⌃
Budget for bookkeeping & tax filing, the annual publication report, address renewal (if virtual) and bank fees. We offer a bundled post-incorporation compliance package with transparent annual pricing.
